1. Applicability
-
Tripod Academy is a trademark and training platform operated by Geniozz BV. Training programmes, workshops, and learning events offered under the Tripod Academy brand may be delivered by Geniozz BV or by independent trainers operating through their own organisations. All such services are governed by these Terms & Conditions.

These provisions apply to all legal relationships between Tripod Academy and its clients concerning work to be carried out by Tripod Academy for the client, including any offer made by Tripod Academy to perform such work.

Changes and/or replacements regarding the Terms & Conditions should be confirmed explicitly and in writing by the Client.

A registration as mentioned in article 3, part one, or the acceptance of an agreement as mentioned in article 4, part two, implies acceptance of the applicability of these terms.

The Terms & Conditions of the Client are not applicable as far as they conflict with the Terms & Conditions as laid down by Tripod Academy.
2. Definitions

Client: a natural or legal person or identity with whom it has been agreed upon to participate in training to be performed by Tripod Academy.

Trainee: a natural person who is participating on behalf of the Client in a training course to be performed by Tripod Academy.
-
Training: A training course, workshop, coaching route, counselling, assessment or any other gathering to instruct participants to increase their knowledge and/or skills.
-
‘Open training’: a training programme attended by participants from different organisations.
-
‘In-company’ training: a training programme delivered exclusively for participants from the same organisation.

Terms: the following Terms & Conditions.

Training Provider: the organisation identified in the quotation, registration confirmation, proposal, order confirmation or invoice as the provider of the training services.
3. Registration for open training

The Client can register for open training as arranged by Tripod Academy in the following ways: by means of registration through the website www.tripodacademy.com, registration by e‐mail through the following email address: info@tripodacademy.com or by quotation acceptance. Registrations may be processed either by Tripod Academy or by the relevant Training Provider.

The Client always receives a confirmation of the registration as mentioned before, by e‐mail.

After the sending of this confirmation, the agreement regarding participation in the training has been set. A confirmation can also be agreed upon by other means. This confirmation covers the contents of the agreement unless proven otherwise.

A maximum number of trainees per training is applicable. Registrations will be accepted in the sequence of receipt.
4. Online training

Online training courses are delivered through video conferencing platforms selected by Tripod Academy, such as Microsoft Teams or Zoom.

Participants are responsible for ensuring they have access to a suitable computer, a stable internet connection, and functioning audio and video equipment.
-
Participants are expected to attend the online training from a suitable location that allows active participation and minimises distractions.
-
Unless otherwise agreed, participants are expected to keep their camera switched on during interactive sessions to support effective learning and group interaction.

Tripod Academy will make reasonable efforts to deliver the online training as scheduled. However, Tripod Academy shall not be liable for interruptions, delays, or technical issues caused by internet connectivity problems, software failures, or circumstances beyond its reasonable control.

Training materials provided in digital format remain subject to the intellectual property provisions of these Terms & Conditions. They may not be copied, distributed, shared, published, or used for commercial purposes without prior written permission from Tripod Academy.

Participants may not record, photograph, transcribe, or otherwise reproduce any part of the online training without the prior written consent of Tripod Academy.

Tripod Academy may record online sessions for internal quality assurance or training purposes. Participants will be informed in advance whenever a session is recorded.

In the event of significant technical disruption affecting the delivery of the training, Tripod Academy may reschedule the affected session or provide an alternative solution at its discretion.

The use of AI tools to record, transcribe, summarise, analyse or otherwise reproduce training content is not permitted without prior written consent.
5. Agreement regarding ‘In-company training’

Regarding “In-company training”, the Client will request a proposal from Tripod Academy or the relevant Training Provider.

This proposal for participating in “In-company training” is agreed upon by mutual acceptance.

The content of the proposal is treated as an agreement. A deviation from the agreement's acceptance will constitute a rejection of the original agreement and an invitation to draw up an altered one.
6. Prices of open training
-
The training fee applicable at the time of registration, quotation acceptance, or order confirmation shall apply.

Published prices on the Tripod Academy website are subject to change without prior notice.
-
The price confirmed in the quotation, registration confirmation or order confirmation shall prevail.
-
Training prices include the cost of training materials, unless mentioned otherwise.
-
Training prices include the cost of the training venue, lunch, as well as refreshments (coffee, tea, water), unless mentioned otherwise.
-
Training prices do not include the cost of overnight accommodation, travel costs, or any other costs incurred by the trainee, unless mentioned otherwise.
-
Obligatory accommodation can be part of the training. These additional costs are not included in the training fee.

Should Tripod Academy handle the coordination of additional training costs, which are not included in the training fee, these costs will be charged to the Client at cost plus a 5% administration fee.

Prices can be adjusted should unforeseen circumstances occur.
-
Prices will be adjusted accordingly should the VAT system or VAT amount change.
7. Prices of 'in-company' training

Training prices as mentioned in the agreement are only valid during the duration of the agreement.
-
Training prices as mentioned include the cost of training materials, unless mentioned otherwise.
-
Training prices as mentioned exclude the cost of the training venue, lunch and refreshments (coffee, tea, water), unless mentioned otherwise.
-
Training prices as mentioned do not include the cost of overnight accommodation, travel costs, or any other costs incurred by the trainee, unless mentioned otherwise.
-
Obligatory accommodation can be part of the training. These additional costs are not included in the training fee.

Should Tripod Academy handle the coordination of additional training costs, which are not included in the training fee, these costs will be charged to the Client at cost plus a 5% administration fee.

When VAT applies, the mentioned prices are excluding VAT and will be charged including VAT.

Prices can be adjusted, should unforeseen circumstances occur.
-
Prices will be adjusted accordingly should the VAT system or VAT amount change.
8. Payment
-
The Training Provider will issue an invoice for the training services to the Client.
-
Final payment by the Client will take place within 30 days after the date of invoice, but at least before the start of the first training day, without any right for discount or settlement, by means of remitting the amount to the bank account designated by the Training Provider.
-
Should the Client not have paid the total amount, as mentioned in part 2 of this article, before the start of the training, the Client will be held responsible by law for the settlement of the invoice.

Should the full amount of the invoice not have been received by the Training Provider before the start of the Training, the Trainee has no right to participate in the Training, regardless of whether the Client is obligated to pay the total Training fee plus additional costs, should these apply, without delay.
9. Change of training date of ‘In-company training’ by the Client

Through mutual consultation, the training date or parts of the training dates, on which an ‘In-company training’ takes place, can be changed without additional cost up until four weeks before the actual start of the training or part of the training. 25% of the total training fee may be charged if the training date is changed less than four weeks but more than two weeks before the planned date. If the training date is changed less than 2 weeks before the start of the training, 50% of the total training cost may be charged.

A request for a change of a training date should be sent to Tripod Academy by the Client in writing.
10. Cancellation of training by the Client

Up until four weeks before the start of the training, the Client can cancel participation free of charge. Any amount already paid will be refunded to the Client (full refund).

When cancellation takes place less than four weeks but more than two weeks before the planned start date of the training, 50% of the total amount will be charged as a cancellation fee. 75% of the fee will be charged if the cancellation occurs less than 2 weeks before the training's planned start date. In that case, the Client has no right to a refund of any amount already paid.

After cancellation by the Client, any additional costs, for which Tripod Academy handles the coordination, will be fully charged to the Client upon the cancellation of the training, at cost plus a 5% administration fee.
11. Cancellation by the Trainee

Should the trainee not be able to take part in the training, replacement by another trainee is possible, provided the trainee is registered by Tripod Academy at least one week before the first training day. For this replacement, there will be no extra cost.

On request, a trainee who is not able to participate in the training can be booked onto the same training on another date. For such a rebooking made more than one week before the first training day, an administrative fee of €50 ex VAT will be charged. For such a rebooking made less than one week before the first training day, an administrative fee of 50% of the total training price will be charged, with a minimum of €50 ex VAT.

Re‐booking of a trainee is only allowed once per trainee per training.
12. Cancellation of the training by Tripod Academy

Tripod Academy reserves the right to cancel the training at least 3 days before the first training day. The Client will be informed immediately upon cancellation. Tripod Academy will refund the amount already paid by the Client for the cancelled training. If possible, Tripod Academy will offer an alternative training date. Should the Client agree with this date, Tripod Academy will not refund the training fee.

Tripod Academy reserves the right to postpone or cancel an open training course if insufficient registrations are received.
13. Liability

The Training Provider shall be responsible for the delivery of the training services. Liability arising from the delivery of a training programme shall rest solely with the Training Provider identified in the quotation, registration confirmation, proposal, order confirmation or invoice.

Should the Training Provider, at any moment, despite the fact mentioned in article one, be responsible for any damage, loss or harm, the cost of this damage, loss or harm will be limited to the maximum amount of the training invoice sent to the Client.

Indirect loss, damage or harm will not be reimbursed.
14. Intellectual ownership

The Client receives a non-transferable right to use the training materials. All training materials provided by Tripod Academy remain the intellectual property of Geniozz BV and/or its licensors.

Without the prior written agreement of Tripod Academy, the Client is not allowed to reproduce, distribute, publish, share, adapt, translate, record or otherwise make available the offered training materials or parts or summaries of the training manuals in any way.
15. Contracting party

Unless explicitly stated otherwise, the organisation identified in the quotation, proposal, registration confirmation, order confirmation or invoice shall be deemed the Training Provider and the contracting party for the delivery of the training services.
16. Replacement of trainer or lecturer
-
Tripod Academy always has the right to replace a trainer or lecturer whom Tripod Academy appoints to conduct the training.
17. Certificate
-
Participants who attend and complete the training programme will receive a Certificate of Attendance unless stated otherwise.

Successful completion of a training programme does not automatically result in professional certification unless explicitly stated in the course description.
-
An exam can be part of the training.
18. Applicable rights
-
In all agreements, general offers, legal acts, etc. of Tripod Academy, as well as agreements between the Training Provider and the Client, Dutch law is applicable. Dutch law also applies if an agreement is performed in whole or in part abroad, or if any of the parties has a residence abroad.

All disputes between parties with reference to agreements or orders, Terms & Conditions, etc., on which these conditions apply or with reference to agreements which are part thereof, will be brought before the competent court in the Netherlands, unless mandatory law provides otherwise.
-
Parties will only take legal action after they have done the utmost to settle the disagreement with mutual consideration.
19. Privacy and data protection

Personal data may be processed by Geniozz BV and/or the relevant Training Provider in accordance with applicable privacy legislation and the Tripod Academy Privacy Policy, which is available on the Tripod Academy website.
20. Force majeure
-
Tripod Academy shall not be liable for delays, cancellations or failure to perform its obligations resulting from circumstances beyond its reasonable control, including illness, travel disruption, natural disasters, governmental restrictions, power outages, internet failures or other force majeure events.
21. Place and changes in Terms & Conditions

The terms as filed on the most recent date are the terms applicable, as well as the version applicable during the time of the realisation of the legal relationship between Tripod Academy and the Client.

In the event of any discrepancy between language versions of these Terms & Conditions, the Dutch version shall prevail.
